Deals, raises and exits

Crowdfunding and Regulation A raises, the IPO pipeline, public-company deals, tender offers, going-private deals and HSR merger filings, from SEC and FTC records.

Updated 2026-10-19

Palanor counts how companies raise money, list, merge and leave the market, straight from the filings the SEC and the FTC publish. Every count is a signal you can chart, watch or add to a scenario.

Raising money

  • Regulation Crowdfunding (Form C). New crowdfunding offerings each quarter, the money sought (target and maximum), the median raise, the mix of debt and equity, and counts for California, New York, Florida and Texas. From the SEC's Crowdfunding Offerings Data Sets, 2016 on.
  • Regulation A ("mini-IPOs"). New Form 1-A offering statements each quarter, the money sought, the Tier 2 share, offerings by industry and the offerings the SEC qualified. From the SEC's Regulation A Data Sets, 2015 on.

These count offerings launched and money sought, not money raised. The filings have no reliable field for the amount finally sold.

Going public

  • IPO pipeline. S-1 and F-1 registrations filed by companies that have never reported to the SEC, SPAC registrations, registrations withdrawn, IPOs priced each month, SPAC IPOs and their share of all IPOs, IPOs by industry, and the median days from the first public filing to pricing.

Most companies now file a confidential draft first, so the public filing is not the true start of an IPO.

Deals

  • Public-company deals. Form 8-K filings that report a material agreement (Item 1.01, which includes merger agreements) or a completed acquisition or sale (Item 2.01), for every SEC filer and for the S&P 500, each month from 2004.
  • Tender offers and going-private deals. Schedule TO-T and Schedule 13E-3 filings each month from 2001.
  • HSR merger filings. Every sizeable U.S. deal must be notified to the FTC and DOJ. Palanor reads the agencies' annual reports for transactions each year and month, second requests, and deals by size, and counts the FTC's early termination notices each month.

Early termination was suspended from February 2021 until the new HSR form took effect in February 2025. The zeros in between are policy, not a lack of deals. The monthly count of notices starts in 2014: the FTC's online list is incomplete before then.

In the API and MCP

  • The signals are open to every key through /v1/signals.
  • /v1/deals and palanor_get_deals list the deal filings themselves: one row per 8-K, tender offer or going-private filing, with the company, the filer and the SEC link. Pro and Enterprise keys.

Limits

Counts are filings, not deal values. Item 2.01 covers sales as well as purchases, and Item 1.01 includes credit agreements and other large contracts. HSR reports arrive about a year after each fiscal year ends.
