Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of Palanor, the Enterprise Intelligence Platform operated by Palanor, Inc. (“Palanor”). Palanor consists of two related surfaces: the Palanor Terminal (palanor.com — open to individual readers, with Reader, Creator, and Researcher tiers) and the Palanor Enterprise Intelligence Platform (app.palanor.com — for organizations, with Watcher, Steward, and Council tiers). By creating an account or using either surface, you agree to these Terms.
1. The service
Palanor provides a hosted intelligence platform anchored around a live signal lattice, named macro Currents, interpretive Schemas, Council-authored news + research, and predictive scenarios. Individual readers access the Palanor Terminal at palanor.com; organizations access the Enterprise Intelligence Platform at app.palanor.com. The service is provided as software-as-a-service via web browser.
2. Accounts — humans only
You must be a human being to hold an account. Automated agents, bots, scrapers, headless browsers, and software-driven account creation are prohibited. Each account corresponds to one natural person and must use accurate identifying information. Multi-account fan-out by a single person to evade rate limits, paywalls, or tier restrictions constitutes material breach.
You are responsible for safeguarding your account credentials and for any activity under your account. Notify us at security@palanor.com if you suspect unauthorized access. Each organization on Enterprise tiers is administered by one or more “Owners” with full permission; other roles (Admin, Researcher, Relationship Steward, Member, Viewer) are scoped accordingly.
3. Acceptable use
You agree NOT to do any of the following:
- No scraping. Do not use scrapers, headless browsers, automated crawlers, or any non-human extraction mechanism against Palanor surfaces. The robots policy at
palanor.com/robots.txtis incorporated by reference; ignoring it is a material breach. The published security.txt is for disclosure, not for circumvention. - No redistribution. Do not republish, mirror, syndicate, or expose Palanor content — signal observations, methodology pages, Council-authored news articles, Futures, Codex posts, Currents data, Schema definitions, Custom Index methodology and component lists, or any compiled aggregate — outside Palanor without a separate, written license from us. Quotation with attribution and a link to the source on palanor.com is permitted within reasonable fair-use limits (no more than two paragraphs per piece, no more than three pieces in any 30-day window from any one author).
- No AI/ML training on Palanor content. Palanor content may not be ingested into datasets used to train, fine-tune, or RAG-augment any model intended for commercial release without a separate written license. This applies to scrapers, third-party crawlers acting on your behalf, and any tooling you operate that produces a derived corpus.
- No agentic operation. Do not deploy autonomous agents, browser-using assistants, or programmatic intermediaries to operate Palanor on your behalf. Reading, posting, commenting, rating, following, and writing on Palanor must be performed by you, a human, in a session you initiated. Tool-using assistants that surface Palanor content for your reading in a human-supervised session are permitted; full autonomy is not.
- No unauthorized access attempts. Do not attempt to gain unauthorized access to the service, other accounts, supporting infrastructure, or non-public data. Vulnerability research is welcomed via the disclosure email above; everything beyond passive observation in your own account requires our prior written consent.
- No spam. Do not use the service to send unsolicited bulk communications.
- No reverse engineering. Do not reverse-engineer, decompile, or otherwise attempt to extract source code, prompts, or model weights from the service except as expressly permitted by applicable law.
- No third-party rights infringement. Do not use the service to generate or distribute content that infringes third-party rights (copyright, trademark, publicity, privacy, or otherwise).
- No abuse of other readers. Posting, commenting, rating, and direct messaging must respect the community. Harassment, doxing, and bad-faith manipulation of the survey signals (e.g. coordinated downvoting of a researcher) are grounds for suspension.
4. Customer Data and ownership
You retain ownership of all data your account or organization submits to the service (“Customer Data”). You grant Palanor a worldwide, non-exclusive license to host, process, and display Customer Data solely to provide and improve the service. Palanor does not use Customer Data to train shared AI models. Sub-processor handling is described at palanor.com/subprocessors; the full Data Processing Agreement is at palanor.com/dpa.
5. Reader contributions — comments, ratings, Futures, signals
When you post a comment, submit a survey response, write a Future, or author a signal into the public catalog, you grant Palanor a perpetual, worldwide, royalty-free, non-exclusive license to host, display, distribute, and create derived works of your contribution within the Palanor platform and in connection with Palanor’s marketing of the platform. You may delete your contribution at any time, at which point the license terminates with respect to new uses (cached, archived, or already-derivative uses persist as a matter of operational reality).
You warrant that your contributions are your own work, do not infringe third-party rights, and do not contain confidential information you are not authorized to share. Contributions that violate Section 3 (Acceptable use) or Section 6 (Intellectual property) below may be removed at Palanor’s discretion.
6. Intellectual property — Palanor’s
Palanor and its licensors retain all right, title, and interest in and to the service, including:
- The Palanor brand assets: the word marks Palanor, Numen, and the compass-style verification symbol; the Palanor logo and its variants; the orb mark and motion treatments.
- The Enterprise Intelligence Platform category nomenclature.
- Original methodologies, including the Custom Indices construction (component selection, weights, transforms, baseline windows, sigmoid/linear scaling), Schema decomposition (stages, indicators, accuracy scoring), Loom Canvas signal-graph math, and the impact-engine scoring of articles, signals, and scenarios.
- The proprietary vocabulary developed by Palanor as terms of art within this platform: Currents (Palanor’s reading of the named macro motions), Schemas (Palanor’s interpretive framework decomposition), Custom Indices (the Palanor-authored composite signal class, including the flagship Palanor Index), Loom Canvas (the proprietary signal-mapping canvas), and the named Council researcher bylines (the persona files at
src/lib/council/agents/*) when used in the context of news, research, or commentary. - Numen system prompts, prompt-engineering patterns, and the reinforcement loops described in the published news methodology.
- The source code of the service.
Nothing in these Terms transfers ownership of Palanor intellectual property. Use of the marks or terms of art in a competing product, a derivative service, or in a way that suggests Palanor endorsement requires our prior written permission. Editorial reference (e.g. a journalist quoting our methodology with attribution) is welcomed.
7. Confidentiality
Each party agrees to protect the other’s confidential information using the same care it uses for its own confidential information of similar importance, and at minimum reasonable care. Customer Data is the confidential information of the customer.
8. Subscription and fees
Fees are set out in the order form or pricing page (/pricing). Terminal tier subscriptions (Reader, Creator, Researcher) are charged monthly or annually; annual commitments receive a 20% discount. Enterprise tier subscriptions (Watcher, Steward, Council) are governed by an order form and the master agreement. Subscriptions auto-renew unless cancelled. Fees are non-refundable except as required by law. Taxes are added where applicable. Customers in jurisdictions with reverse-charge VAT/GST are responsible for self-accounting.
9. Service levels
Palanor targets 99.9% monthly uptime for the production service. Planned maintenance is communicated in advance via palanor.com/status. Service credits, when applicable, are issued as account credit against future invoices.
10. Suspension and termination
Palanor may suspend or terminate accounts for material breach of these Terms, non-payment, or activity that jeopardizes the service or other readers. We will, where reasonable and not at material risk to the platform, attempt to contact the account holder before termination so any misunderstanding can be cured. Customers may terminate at the end of the current term per the order form. On termination, customers have 30 days to export Customer Data; after 90 days, all Customer Data is deleted from production systems (and removed from backups per the backup rotation schedule).
11. Warranties and disclaimers
The service is provided “as is” and “as available.” Palanor disclaims all warranties except those expressly stated in a master services agreement. Numen’s readings, scenarios, Council-authored news, signal scorings, and predictions are decision-support outputs, not financial advice; customers are responsible for their own decisions. Past performance of any signal, index, or scenario is not indicative of future results.
12. Limitation of liability
To the maximum extent permitted by law, Palanor’s aggregate liability for any claim arising out of or related to these Terms or the service shall not exceed the fees paid by the customer to Palanor in the 12 months preceding the claim. Neither party is liable for indirect, incidental, consequential, or punitive damages.
13. Indemnification
Each party will indemnify the other for third-party claims arising out of the indemnifying party’s breach of these Terms or applicable law. Standard mutual indemnity language applies under the master agreement when one is in force.
14. Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Disputes will be resolved in the state or federal courts located in Delaware, except where consumer protection law in your jurisdiction prohibits this choice. For EU and UK consumers, additional protections under your local law apply notwithstanding the above.
15. Enforcement of scraping + agentic-use restrictions
Violation of Section 3 (no scraping, no redistribution, no AI/ML training, no agentic operation) is a material breach and a basis for immediate suspension. Palanor reserves the right to (a) revoke API access, (b) blacklist offending IP ranges, (c) pursue contractual damages including reimbursement of Palanor’s reasonable enforcement costs, and (d) seek injunctive relief. These restrictions are in addition to, not in lieu of, protections under the Computer Fraud and Abuse Act (US), the Digital Millennium Copyright Act (US), the EU Copyright Directive, the UK Copyright, Designs and Patents Act, and equivalent laws in your jurisdiction.
16. Changes to these Terms
If we change these Terms materially, we will notify customers via email and update the “Last updated” date. Continued use of the service after the change constitutes acceptance of the updated Terms.
