Executive Changes

CEO, CFO and board-chair departures and appointments that companies report in 8-K filings, with the filing's own sentence and a reason only when the filing states one.

Updated 2026-10-24

Executive Changes is a Tracker: one row per departure or appointment of a chief executive, chief financial officer or board chair, read from the 8-K filings of the companies Palanor follows (the S&P 500, Nasdaq-100, Russell 1000 and S&P MidCap 400), from September 2023. It is in the Terminal at app.palanor.com/trackers/executive-changes. In your organization, members reach it through My Tracker, the Trackers row in the menu (app.palanor.com/<your organization>/trackers): its feed reads this tracker through your organization's scope, and every public tracker is listed below the feed.

Where the rows come from

A company must file a Form 8-K under Item 5.02 within four business days when its principal executive officer, principal financial officer or a director leaves, or when it appoints a principal officer. Fixed patterns find the people, roles and actions in the Item 5.02 text. Each candidate is then read once more with one closed question about the sentence alone: does it state that this person leaves, or is appointed to, this role at the company that filed? Only rows that pass are shown, so a role the person already holds, a subsidiary's or a segment's CEO, or someone else's change in the same sentence stays out. A second filing that repeats the same change within a year, such as an 8-K/A, is not a new row.

CEO and CFO include interim and co- roles. Board chair includes executive and non-executive chairs, not committee chairs or vice chairs.

Reasons

The Reason column shows a reason only when the filing's sentence states it for that person: retirement, death, health, personal or family reasons, or another position. Nothing is inferred, and many filings state no reason. A filing that says the departure is not the result of any disagreement is marked. Hover the reason to read the filing's sentence; the Filing link opens the 8-K.

Follow and alerts

Follow on a row watches that company. Follow this view watches the filters you set, for example every CEO departure. Under the table, a rule alerts when CEO departures in 30 days reach a number you choose. The company's Dossier has an Executive changes panel, the screener has Latest CEO change and Latest CFO change filters, and the command bar opens a company's record with `<TICKER> EXECS`.

Downloads and the API

Rows download as CSV with a Pro or Enterprise API key, or a full seat on Palanor Enterprise, and through the API at /v1/trackers/executive-changes and the MCP tool palanor_tracker. SEC filings are public information; every row links to its filing.

Rows are what companies stated in SEC filings. Nothing in the tracker is a forecast or advice.
