Insider & Activist

Clusters of open-market insider purchases or sales (two or more insiders, same direction, within 14 days) from Form 4, and Schedule 13D stakes and amendments.

Updated 2026-10-24

Insider & Activist is a Tracker of insider trading clusters and activist stakes as filed with the SEC. It is at app.palanor.com/trackers/insiders. In your organization, members reach it through My Tracker, the Trackers row in the menu (app.palanor.com/<your organization>/trackers): its feed reads this tracker through your organization's scope, and every public tracker is listed below the feed.

How a cluster is defined

The definition was fixed in code before the record was built. A cluster starts at an insider's open-market trade (Form 4 code P for a purchase, S for a sale) that is not already in a cluster. It takes in every open-market trade in the same direction by any insider of the same company on that day and the 13 days after it, 14 days in all. It is shown when at least two different insiders traded. The date is the last trade's; the value is shares times price summed over the trades.

10b5-1 plans

A trade under a Rule 10b5-1 plan was scheduled in advance; since April 2023 Form 4 has a box for it. A cluster made only of plan trades is marked 10b5-1 plan, and the filter Not only plan trades leaves those out.

13D stakes

A holder of more than 5% of a class who cannot use the short Schedule 13G files a Schedule 13D, which states the purpose of the stake, and amends it when the stake or plans change. The percent shown is the largest any reporting person states.

Coverage, and what it is not

The companies Palanor tracks (about 1,100: S&P 500, Russell 1000 and S&P MidCap 400), Form 4 from July 2024 and 13D from 2020 (stake percentages from December 2024). Insiders trade for many reasons: taxes, diversification, a plan set months earlier. The tracker records what was filed. It makes no claim about what a trade means, and no performance is claimed for following insiders.

Follow and alerts

Follow on a row watches that company; Follow this view watches the filters you have set. The rules under the table are shortcuts to the Alerts center, where you can change the numbers. A row counts when it first loads and only if it is dated within 45 days of that, so older filings loaded later never flood you. Alerts arrive in the bell, by email or on your phone, inside your quiet hours and limits. See [Alerts center](/help/modules/alerts-center).

Companies, downloads and the API

Rows are linked to companies by SEC CIK, or by name under the company graph's conservative rules; a linked subsidiary's rows also reach its listed parent. A company's Dossier has a Trackers panel with its rows. Rows download as CSV with a Pro or Enterprise API key or a full seat on Palanor Enterprise, and come through the API at /v1/trackers/insiders and the MCP tool palanor_tracker (rows whose source allows redistribution only). Numen can read the tracker too.
