Private Raises is a Tracker of private money as companies report it to the SEC on Form D. It is at app.palanor.com/trackers/raises. In your organization, members reach it through My Tracker, the Trackers row in the menu (app.palanor.com/<your organization>/trackers): its feed reads this tracker through your organization's scope, and every public tracker is listed below the feed. It opens on raises of $20 million and up; lower Size at least to see more.
What is in it (offerings first filed from 2023)
- Raises: an operating company's offering with at least $5 million sold. The size is the amount sold as of its latest notice; the date is its first notice. Funds and deal vehicles (names such as "Fund", "SPV", "a Series of", "Co-Invest") are left out.
- New funds: pooled funds whose Form D says venture capital or private equity, with at least $5 million sold or $20 million offered. Single-deal vehicles, feeders, parallel and co-investment vehicles are left out by name.
- First-time managers: an adviser whose first private fund (Form ADV Schedule D, matched to Form D by file number) first filed from 2023, and who first appears in the SEC's adviser lists no earlier than the year before. Form ADV data from 2025 comes from BrokerCheck (FINRA, https://brokercheck.finra.org), used under the BrokerCheck Terms of Use (https://brokercheck.finra.org/terms) for investor protection.
The AI flag
AI is Palanor's classification of what the company does: rules over its filings, and where those are unclear a model reading its website, with the evidence link kept on the row. It is a Palanor classification, not the company's own label, and it can be wrong. Funds are not classified.
What it is not
A Form D is a notice of an exemption, not an announced funding round. Companies that raise without Regulation D, or file late or never, are missing, and amounts are as reported. The SEC's quarterly data set is read when it is posted; new notices since then are read from EDGAR daily and marked Recent notice.
Follow and alerts
Follow on a row watches that company; Follow this view watches the filters you have set. The rules under the table are shortcuts to the Alerts center, where you can change the numbers. A row counts when it first loads and only if it is dated within 45 days of that, so older filings loaded later never flood you. Alerts arrive in the bell, by email or on your phone, inside your quiet hours and limits. See [Alerts center](/help/modules/alerts-center).
Companies, downloads and the API
Rows are linked to companies by SEC CIK, or by name under the company graph's conservative rules; a linked subsidiary's rows also reach its listed parent. A company's Dossier has a Trackers panel with its rows. Rows download as CSV with a Pro or Enterprise API key or a full seat on Palanor Enterprise, and come through the API at /v1/trackers/raises and the MCP tool palanor_tracker (rows whose source allows redistribution only). Numen can read the tracker too.
