U.S. IPOs Priced per Month

Methodology

## What this measures

How many operating companies went public on a U.S. exchange in the month, dated by their first final prospectus. The monthly version of the U.S. IPO count (ipo.us.count.quarterly).

## Why it matters

Pricings are the IPO window itself: the month-by-month count shows the window opening and shutting faster than a quarterly total.

## How to read it

Higher means more companies are listing. Single months are lumpy around holidays and August; compare the same month a year earlier.

## What it does not say

It counts listings, not money raised. It includes small Nasdaq and NYSE American listings and foreign companies listing in the U.S. IPOs whose final prospectus was filed under another form (424B3 or 424B5) are missed.

## How it's built

An IPO here follows the rule of Palanor's U.S. IPO count (ipo.us.count.quarterly): the first final prospectus (Form 424B4 or 424B1) of a company that had filed no annual or quarterly report before it, leaving out funds, asset-backed issuers, multi-registrant debt filings and companies with no sign of a U.S. exchange listing. SPACs are identified by SIC code 6770, a blank-check name at filing, or a later 8-K reporting the end of shell status confirmed by a unit listing. Each IPO is dated by its final prospectus filing. The month in progress is left out until it ends.
