Original Form 8-K filings by every SEC registrant, counted by filing date; amendments are not counted and a filing made jointly by a parent and its subsidiaries counts once. Private companies do not file 8-Ks. Reporting a material agreement and a new direct financial obligation together is a structural proxy for a credit agreement, term loan, revolving facility, note purchase agreement or indenture; debt reported under one item alone is not counted.
How often companies sign or amend a debt agreement big enough to report. The count rises when credit is easy and refinancing is busy, and falls when lenders pull back.
