Going-Concern Warnings in Annual and Quarterly Reports
10-K and 10-Q filings containing "substantial doubt" and "going concern", all SEC filers, 12-month totals, with and without documents citing ASU 2014-15
Plays the chart through its history. Pauses are where the data set a record or moved most.
Annual and quarterly reports (10-K, 10-Q) whose text contains both "substantial doubt" and "going concern", from EDGAR full-text search. It counts filings with the phrases, so a filing saying there is no substantial doubt still counts. The series starts in April 2009, after small companies stopped filing Forms 10-KSB and 10-QSB, which the search does not index. From late 2014, notes on the new going-concern accounting standard (ASU 2014-15) put the phrases into many reports with no doubt behind them; the second line leaves out documents that mention it, and with them some genuine warnings that cite it.
Going-concern language is how an auditor or management warns that a company may not survive the next year without new money. Most of these filings come from small public companies, so the count is a read on how easily they can raise funds.
